Almost nobody could follow the answer.<\/p>\n<p>The length and complexity of the definition was also humorous given that Saylor is the founder of Strategy (formerly MicroStrategy), a DAT that publishes its mNAV on its <a href=\"https:\/\/www.strategy.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">homepage<\/a>: 1.18x.<\/p>\n<p>How can the answer be precisely 1.18x, yet be so difficult to define?<\/p>\n<h2 class=\"wp-block-heading\">The first problem? There is no NAV.<\/h2>\n<p>Debt-laden companies with payables and other obligations don\u2019t have \u201cNAV\u201d in the first place, which is a controlled term reserved for regulated funds.<\/p>\n<p>Nonetheless, crypto investors likened \u201cNAV\u201d to the value of the crypto holdings at a digital asset treasury (DAT) company.<\/p>\n<p>According to Strategy\u2019s website, the company owns $52.9 billion worth of bitcoin (BTC), and Strategy\u2019s enterprise value is $62.1 billion. Therefore, Strategy has a 1.18x multiple above its $52.9 billion \u201cNAV,\u201d which isn\u2019t really a NAV, but well, whatever.<\/p>\n<p>And it would be whatever, if only the reality were that simple. In fact, it gets worse.<\/p>\n<p>Indeed, at BTC Prague 2026 on Wednesday, Twenty One executive Jack Mallers asked Saylor to define mNAV. Trying to calm the virality, Mallers <a href=\"https:\/\/x.com\/jackmallers\/status\/2064836153447227446\">wrote<\/a>, \u201cPretty basic questions and I was asking them genuinely. How is that shade?\u201d\u00a0<\/p>\n<p>For example, he asked Saylor how Strategy counts out-of-the-money convertibles. He also wanted an example of a \u201cdilutive\u201d transaction, since Saylor insists swapping equity for dollars isn\u2019t necessarily dilutive.<\/p>\n<figure class=\"wp-block-embed is-type-wp-embed is-provider-protos wp-block-embed-protos\">\n<div class=\"wp-block-embed__wrapper\">\n<blockquote class=\"wp-embedded-content\" data-secret=\"mWPNr343yw\"><p><a href=\"https:\/\/protos.com\/michael-saylors-strategy-makes-up-metrics-to-explain-mstr-dilution\/\">Michael Saylor\u2019s Strategy makes up metrics to explain MSTR dilution<\/a><\/p><\/blockquote>\n<\/div>\n<\/figure>\n<p><em>Read more: <a href=\"https:\/\/protos.com\/strategys-bitcoin-premium-vanishes-as-mnav-crashes-to-1x\/\" target=\"_blank\" rel=\"noreferrer noopener\">Strategy\u2019s\u00a0bitcoin premium\u00a0vanishes as mNAV\u00a0crashes to\u00a01x<\/a><\/em><\/p>\n<h2 class=\"wp-block-heading\">A personal definition of mNAV<\/h2>\n<p>Even the most basic metric is one that Saylor needs multiple paragraphs to explain.<\/p>\n<p>From the stage, he described mNAV as the equity market cap:<\/p>\n<ul class=\"wp-block-list\">\n<li>adjusted for net debt<\/li>\n<li>adjusted for the notional value of preferred equity<\/li>\n<li>divided by the BTC value<\/li>\n<li>adjusted for disclaimers and definitions on 8-Ks<\/li>\n<li>adjusted for quarterly SEC filings.<\/li>\n<\/ul>\n<p>He also spoke at length about subsequent amendments, and other figures across Strategy.com.<\/p>\n<p>Indeed, By the end of his answer, Saylor had delivered more of a reading list than a definition.<\/p>\n<p>However, this complexity isn\u2019t accidental. It distracts from the number itself, which keeps going down.<\/p>\n<p>The simple version or \u201cbasic mNAV,\u201d market cap divided by the USD value of crypto holdings, has slid below 1x at Strategy after enjoying months in the 2-4x range when sentiment was far better.<\/p>\n<p>The more flattering version of mNAV, enterprise value mNAV, remains slightly higher than 1x \u2014 but not by much.<\/p>\n<h2 class=\"wp-block-heading\">\u2018Is not equivalent to net asset value or NAV or any similar metric\u2019<\/h2>\n<p>The deepest irony sits in Strategy\u2019s own filings. The company concedes that its \u201cBTC NAV\u201d isn\u2019t actually related to net asset value, despite the NAV acronym standing for the words \u201cnet asset value.\u201d<\/p>\n<p>It <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1050446\/000095017025100916\/mstr-ex99_1.htm\">warned<\/a> that the label <strong>\u201cis not equivalent to \u2018net asset value\u2019 or \u2018NAV\u2019 or any similar metric in the traditional financial context.\u201d<\/strong><\/p>\n<p>In other words, one of the most popular terms in the DAT industry is nonsensical. <\/p>\n<p>Basic mNAV numbers keep falling below 1x across the sector, so those are no good anymore. The more flattering enterprise value mNAV variants are dangerously close to sub-1x territory, so those are hardly confidence-inspiring either.<\/p>\n<p>Unfortunately, explaining all of these realities eats up valuable minutes of stage time and leaves an inquisitive mind exhausted.\u00a0<\/p>\n<p>Protos has previously catalogued Saylor\u2019s habit of <a href=\"https:\/\/protos.com\/we-made-a-dictionary-of-microstrategys-invented-terminology\/\" target=\"_blank\" rel=\"noreferrer noopener\">inventing terminology<\/a>. That habit continued with his performance this week.<\/p>\n<h2 class=\"wp-block-heading\">A number everyone can understand: A $9 billion unrealized loss<\/h2>\n<p>Fortunately, real prices simplify all of this wordplay to a simple matter of dollars and cents. Strategy holds 845,256 BTC worth about $53 billion against a cost basis near $64 billion.<\/p>\n<p>That leaves the company with <strong>a $9 billion unrealized loss<\/strong> on its multi-year BTC investment.\u00a0<\/p>\n<p>MSTR, the company\u2019s common stock, closed yesterday down 24% year-to-date and down 70% over the past 12 months.<\/p>\n<p>That\u2019s math that anyone can understand.<\/p>\n<p>On the other hand, when defining a term at the core of a valuation decision needs seven minutes and hundreds of pages of follow-up reading assignments, the problem might not be the audience.<\/p>\n<p>A metric like mNAV that requires that much explanation is saying something with the convoluted explanations themselves.<\/p>\n<p><em>Got a tip?
