{"id":9293,"date":"2026-08-16T02:33:29","date_gmt":"2026-08-15T23:33:29","guid":{"rendered":"https:\/\/handoli.com\/index.php\/2026\/08\/16\/confusion-surrounds-spacexs-next-share-unlock\/"},"modified":"2026-08-16T02:33:29","modified_gmt":"2026-08-15T23:33:29","slug":"confusion-surrounds-spacexs-next-share-unlock","status":"publish","type":"post","link":"https:\/\/handoli.com\/index.php\/2026\/08\/16\/confusion-surrounds-spacexs-next-share-unlock\/","title":{"rendered":"Confusion surrounds SpaceX\u2019s next share unlock"},"content":{"rendered":"<div><\/div>\n<p>Major financial publications appeared to be in disagreement this month, publishing three different dates for when 319 million <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1181412\/000162828026042639\/spaceexplorationtechnologi.htm\" target=\"_blank\" rel=\"noreferrer noopener\">additional<\/a> shares of SpaceX would unlock this month.<\/p>\n<p>At Wednesday\u2019s share price, that unlock is worth about $46 billion \u2014 a figure that should certainly motivate shareholders to decide on an exact date for the expansion of the float.<\/p>\n<p>However, nobody seemed to know.<\/p>\n<ul class=\"wp-block-list\">\n<li><em>CNBC<\/em> <a href=\"https:\/\/www.cnbc.com\/2026\/08\/06\/spacex-faces-test-as-shares-unlock-allowing-early-investors-cash-out.html\" target=\"_blank\" rel=\"noreferrer noopener\">reported<\/a>, \u201cOn Aug. 20, another 319 million shares could unlock, according to the prospectus.\u201d\u00a0<\/li>\n<li><em>Quartz<\/em> guessed earlier, <a href=\"https:\/\/qz.com\/spacex-insider-lockup-expiration-stock-shares-080626\" target=\"_blank\" rel=\"noreferrer noopener\">crediting<\/a> <em>Barron\u2019s<\/em>, \u201cA second release of 319 million shares is scheduled for Aug. 12.\u201d\u00a0<\/li>\n<li><a href=\"https:\/\/www.techtimes.com\/articles\/323338\/20260806\/spacex-lockup-day-arrives-feared-insider-rout-stays-quiet-september-index-buying-looms.htm\" target=\"_blank\" rel=\"noreferrer noopener\">TechTimes<\/a> and <a href=\"https:\/\/www.tradingkey.com\/analysis\/stocks\/us-stocks\/262086387-spacex-spcx-lockup-expiration-aug-6-outcome-tradingkey\">TradingKey<\/a> went with August 12, too.<\/li>\n<li><em>Motley Fool<\/em> guessed a later date, <a href=\"https:\/\/www.fool.com\/investing\/2026\/08\/12\/spacex-fleece-retail-investors-9-days-2nd-unlock\/\" target=\"_blank\" rel=\"noreferrer noopener\">telling<\/a> readers, \u201cOn the 70th calendar day following SpaceX\u2019s debut, which is nine days from now on Aug. 21, another 7% of early release-eligible insider shares are available to be sold.\u201d\u00a0<\/li>\n<li>A website tracking SpaceX dated the <a href=\"https:\/\/spcx.capital\/spacex-stock-lockup-dates\" target=\"_blank\" rel=\"noreferrer noopener\">unlock<\/a> \u201c~August 21, 2026,\u201d indicating obvious confusion.<\/li>\n<\/ul>\n<p>The unlock, as described in the <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1181412\/000162828026042639\/spaceexplorationtechnologi.htm\" target=\"_blank\" rel=\"noreferrer noopener\">prospectus<\/a>, isn\u2019t precisely 319 million but \u201cup to 319 million shares\u201d plus the possibility of more given that the figure \u201cexcludes shares held by \u2018affiliates.\u2019\u201d<\/p>\n<p>For practical purposes, we\u2019ll adopt that convention below.<\/p>\n<h2 class=\"wp-block-heading\">When to expect the SpaceX float to increase<\/h2>\n<p>The earliest guess, August 12, is easy to invalidate.<\/p>\n<p>The current number of SPCX shares outstanding is <a href=\"https:\/\/www.marketwatch.com\/investing\/stock\/spcx\">7.7 billion<\/a> and that number is unchanged from <a href=\"https:\/\/web.archive.org\/web\/20260810010037\/https:\/\/www.marketwatch.com\/investing\/stock\/spcx\" target=\"_blank\" rel=\"noreferrer noopener\">three<\/a> days ago. Every major financial website agrees that the float of SpaceX didn\u2019t increase by 319 million yesterday.<\/p>\n<p>The next two guesses are August 20 and 21.<\/p>\n<p>Well, we know that SpaceX priced its IPO on the evening of June 11, and Nasdaq trading opened the following morning.<\/p>\n<p>The cover of that prospectus <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1181412\/000162828026042639\/spaceexplorationtechnologi.htm\" target=\"_blank\" rel=\"noreferrer noopener\">reads<\/a>, \u201cProspectus Dated June 11, 2026.\u201d<\/p>\n<p>Every lockup trigger inside it counts from that June 11 date while the release table sets the 319 million share tranche at the \u201c70th day after the date of this prospectus.\u201d<\/p>\n<p>Putting it all together, June 11, 2026 plus 70 days is <strong>August 20<\/strong>.<\/p>\n<figure class=\"wp-block-embed is-type-wp-embed is-provider-protos wp-block-embed-protos\">\n<div class=\"wp-block-embed__wrapper\">\n<blockquote class=\"wp-embedded-content\" data-secret=\"KRJPPKq0MQ\"><p><a href=\"https:\/\/protos.com\/elon-musks-spacex-has-already-given-back-1-trillion\/\">SpaceX slips below $140 per share, wiping $1T from peak valuation<\/a><\/p><\/blockquote>\n<\/div>\n<\/figure>\n<p><em>Read more: <a href=\"https:\/\/protos.com\/spacex-ipo-banks-yell-buy-as-stock-craters\/\" target=\"_blank\" rel=\"noreferrer noopener\">SpaceX IPO banks yell \u2018buy\u2019 as stock craters<\/a><\/em><\/p>\n<p>The same June 11 anchor produces confirmed dates for additional unlocks after elapsed times: September 9, October 24, and December 8.<\/p>\n<p>All of these dates are printed in the filing, confirming that June 11 is the correct anchor.<\/p>\n<h2 class=\"wp-block-heading\">The SpaceX unlock is next week<\/h2>\n<p>Although the August 21 cohort got pretty close, the August 12 camp were nowhere near.<\/p>\n<p><em>TradingKey<\/em> <a href=\"https:\/\/www.tradingkey.com\/analysis\/stocks\/us-stocks\/262086387-spacex-spcx-lockup-expiration-aug-6-outcome-tradingkey\" target=\"_blank\" rel=\"noreferrer noopener\">reblogged<\/a> the error anyway, saying, \u201cApproximately 319 million shares could be released as soon as August 12.\u201d<\/p>\n<p>So did Asbury Capital, an advisory firm of Steven Engle. Its client-guidance <a href=\"https:\/\/www.asbury-capital.com\/blog\/spacexs-lockup-expiration-just-started-heres-what-to-do-with-your-shares\" target=\"_blank\" rel=\"noreferrer noopener\">post<\/a> incorrectly dates the unlock of 319 million shares to \u201croughly August 12.\u201d<\/p>\n<p>Peter Singlehurst, who heads a private companies team at Baillie Gifford, <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2026-08-05\/spacex-s-101-billion-unlock-heaps-pressure-on-battered-shares\" target=\"_blank\" rel=\"noreferrer noopener\">told<\/a> <em>Bloomberg<\/em>, \u201cWe\u2019ve never seen anything like it, we\u2019ve never seen anything of this scale, we\u2019ve never seen a lock-up being phased in this way.\u201d<\/p>\n<p>Unprecedented, perhaps.
